Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between WhatsTeam (“WhatsTeam”, “we”, “us”) and the company or other legal entity that creates a WhatsTeam account (the “Customer”, “you”). By creating an account, ticking the acceptance box, or using the service, you agree to these Terms on behalf of your company and confirm you have authority to do so. If you do not agree, do not use the service.

1. The service

WhatsTeam is a team inbox for WhatsApp: it connects WhatsApp numbers your business uses into a shared, backed-up workspace with team collaboration, a shared contact book, analytics and AI-assisted reply drafting (the “Service”).

The Service is provided to businesses, not consumers. You are responsible for everyone you invite into your workspace.

2. Your account

You must provide accurate information when signing up and keep your credentials secure. Anything done through your users’ accounts is your responsibility. Tell us promptly at the contact address below if you suspect unauthorised access.

3. Your responsibilities to your team (important)

Connecting a WhatsApp number to WhatsTeam makes that number’s conversations visible to workspace members you authorise, and stores them in your company workspace.

You warrant that, for every number you connect and every person whose messages pass through the Service, you have:

  • informed the individuals using those numbers (including your employees and contractors) that their work WhatsApp conversations will be accessible to the company through a shared, backed-up inbox;
  • a lawful basis under applicable law — including the Hong Kong Personal Data (Privacy) Ordinance (“PDPO”) and any applicable employment rules — for that collection and monitoring; and
  • the right to connect the number to the Service (it is a number used for your business).

These duties sit with you as the employer / data user. WhatsTeam processes the data on your instructions and is not responsible for how you obtain consent from, or give notice to, your staff or customers.

4. How numbers connect; WhatsApp is not our product

Numbers connect to WhatsTeam through WhatsApp’s linked-device mechanism (the same way WhatsApp Web links a browser). WhatsTeam does not use the WhatsApp Business Platform (Cloud API) and is not a Meta product.

WhatsTeam is an independent product. It is not affiliated with, endorsed by, or sponsored by WhatsApp LLC or Meta Platforms, Inc. “WhatsApp” is a trademark of its owner.

You acknowledge that WhatsApp’s own terms apply to your use of WhatsApp, that WhatsApp may change how linked devices work at any time, and that WhatsApp may restrict or ban numbers at its sole discretion. You accept this risk. WhatsTeam is not liable for any restriction, suspension or ban of a WhatsApp number, loss of access to WhatsApp, or changes to WhatsApp that degrade or end the Service’s ability to connect.

5. Acceptable use

You agree not to use the Service to:

  • send spam, bulk unsolicited messages, or messages that violate WhatsApp’s terms or any anti-spam law;
  • harass, defraud or deceive anyone, or send unlawful, infringing or harmful content;
  • connect numbers you have no right to use, or access another company’s data;
  • probe, overload or interfere with the Service, or attempt to extract other customers’ data.

We may suspend or terminate access immediately where we reasonably believe this section is being breached, and we may report unlawful activity to authorities.

6. AI features

The Service includes AI features (for example reply drafting in a team member’s style and conversation analysis). To provide them, message content and related context may be sent to third-party AI model providers through our AI routing provider (currently OpenRouter, Inc.).

AI output is generated automatically and may be wrong, incomplete or inappropriate. A human must review AI drafts before sending. You are responsible for every message actually sent from your numbers, however it was drafted.

We do not use your conversations to train our own models. If you want AI features disabled for a workspace or a specific connected number, contact us and we will disable them.

7. Your data

As between you and WhatsTeam, you own the messages, contacts, media and other content you bring to or create in the Service (“Customer Data”). You are the data user / controller of Customer Data; WhatsTeam processes it as your service provider on your instructions, as described in our Privacy Policy.

You grant us the rights needed to operate the Service: to store, back up, index, display and process Customer Data for you, including the AI processing described above.

You can export Customer Data during your subscription. After termination we delete Customer Data as described in the Privacy Policy.

8. Fees

Paid plans, prices and billing terms will be presented at the point of purchase and form part of these Terms once you subscribe. Until then, the Service may be provided free of charge, trial-based, or invite-only, and we may change what is included in free access at any time.

9. Suspension and termination

You may stop using the Service and delete your workspace at any time.

We may suspend or terminate the Service for breach of these Terms, non-payment, legal requirement, or risk to the Service or other customers. Where practical we will give you notice and a chance to fix the problem first.

Sections that by their nature should survive termination (including 4, 7, 10, 11, 12 and 13) survive.

10. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that WhatsApp connectivity will always be available.

Backups are provided on a best-effort basis. Keep independent copies of anything critical.

11. Limitation of liability

To the fullest extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data; and (b) WhatsTeam’s total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us for the Service in the 12 months before the event giving rise to the claim (or HK$1,000 if you have paid nothing).

Nothing in these Terms excludes liability that cannot be excluded by law, including liability for fraud.

12. Indemnity

You will defend and indemnify WhatsTeam against claims, damages and costs (including reasonable legal fees) arising from: your Customer Data; your breach of Section 3 (staff notice / lawful basis) or Section 5 (acceptable use); your breach of WhatsApp’s terms; or your violation of applicable law.

13. Governing law

These Terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

14. Changes to these Terms

We may update these Terms from time to time. For material changes we will give notice inside the Service or by email at least 14 days before they take effect. Continuing to use the Service after the effective date means you accept the updated Terms. The version date at the top identifies the current version.
